1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between Scout52 Ltd ("Scout52", "we", "us", or "our") and you ("User", "you", or "your"), whether personally or on behalf of an entity, concerning your access to and use of the Scout52 platform, website, mobile applications, and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you do not have permission to access the Service.

These Terms are governed by the laws of England and Wales, and comply with the Consumer Rights Act 2015, UK GDPR, and other applicable UK and European Union regulations.

2. Definitions

• "Platform" means the Scout52 web application and all associated services
• "Account" means your registered user account on the Platform
• "Content" means any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, works of authorship, applications, or any other materials
• "Scouting Data" means player evaluations, match reports, performance analytics, and related football intelligence
• "Subscription" means your paid access to premium features of the Service

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you meet this eligibility requirement.

3.2 Account Creation

To access certain features, you must register for an Account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your Account
• Notify us immediately of any unauthorized access or security breach

3.3 Account Types

Scout52 offers different account types:

• Individual Scout Accounts
• Professional Club Accounts (First Team and Academy)
• Agent/Agency Accounts
• Enterprise Accounts with multiple users

4. Services Provided

Scout52 provides a football scouting intelligence platform including:

• Player database and profiling tools
• Match fixture tracking and scheduling
• Scouting report creation and management
• Performance analytics and insights
• Team collaboration and communication tools
• Data visualization and reporting features
• API access (for eligible subscription tiers)

5. Subscription and Payment Terms

5.1 Subscription Plans

Scout52 offers various subscription tiers with different features and pricing. Details of current plans are available on our pricing page.

5.2 Billing

• Subscriptions are billed on a recurring basis (monthly or annually)
• Payment is due in advance for each billing period
• All prices are in GBP unless otherwise stated
• Prices include VAT where applicable

5.3 Free Trial

We may offer a free trial period. You may be required to enter payment details to start a free trial. Unless you cancel before the trial ends, you will be automatically charged for the subscription.

5.4 Cancellation and Refunds

In accordance with the Consumer Rights Act 2015:

• You have a 14-day cooling-off period from the date of purchase
• Monthly subscriptions can be cancelled at any time
• Annual subscriptions are non-refundable after the cooling-off period
• Cancellation takes effect at the end of the current billing period

6. User Obligations and Conduct

6.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit any malicious code or viruses
• Attempt to gain unauthorized access to any part of the Service
• Harvest or collect data about other users without consent
• Use the Service for any discriminatory or unlawful purpose
• Misrepresent your identity or affiliation
• Sell, resell, or commercially exploit the Service without authorization

6.2 Professional Standards

When using Scout52 for professional scouting activities, you agree to:

• Maintain confidentiality of sensitive player information
• Respect privacy rights of individuals in your reports
• Provide honest and accurate assessments
• Comply with football association regulations and codes of conduct

7. Intellectual Property Rights

7.1 Scout52 Property

The Service, including its original content, features, and functionality, is owned by Scout52 Ltd and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 User Content

You retain ownership of any Content you submit to the Service. By submitting Content, you grant Scout52 a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute your Content solely for the purpose of providing the Service.

7.3 Feedback

Any feedback, suggestions, or improvements you provide may be used by Scout52 without any obligation to compensate you.

8. Data Protection and Privacy

8.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which complies with UK GDPR and the Data Protection Act 2018.

8.2 Data Processing

For Professional and Enterprise accounts, we act as a Data Processor. A separate Data Processing Agreement may be required.

8.3 International Transfers

We ensure appropriate safeguards for any international data transfers in accordance with UK GDPR requirements.

9. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by Scout52. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

10. Disclaimer of Warranties

To the fullest extent permitted by UK law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not guarantee that the Service will be error-free or uninterrupted
• We do not warrant the accuracy or completeness of any information on the Service
• Your use of the Service is at your sole risk

11. Limitation of Liability

In accordance with UK law, Scout52's liability is limited as follows:

• We do not exclude liability for death or personal injury caused by negligence
• We do not exclude liability for fraud or fraudulent misrepresentation
• Our total liability for any claims under these Terms shall not exceed the amount paid by you for the Service in the 12 months preceding the claim
• We are not liable for any indirect, consequential, or punitive damages

12. Indemnification

You agree to indemnify and hold Scout52, its affiliates, officers, agents, employees, and partners harmless from any claims, losses, damages, liabilities, including legal fees, arising out of your use or misuse of the Service, violation of these Terms, or infringement of any rights of another party.

13. Termination

13.1 Termination by You

You may terminate your Account at any time through your account settings or by contacting support.

13.2 Termination by Scout52

We may terminate or suspend your Account immediately, without prior notice, if:

• You breach these Terms
• You provide false or misleading information
• Your conduct harms other users or Scout52's reputation
• Required by law or court order

13.3 Effect of Termination

Upon termination, your right to use the Service will cease. Scout52 may delete your Account and Content after a reasonable period.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of England and Wales.

14.2 Informal Resolution

We prefer to resolve disputes informally. Please contact us first to attempt resolution.

14.3 Formal Proceedings

Any disputes shall be resolved through the courts of England and Wales. EU consumers may also use the EU Online Dispute Resolution platform.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes at least 30 days in advance. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scout52 regarding the use of the Service.
